1. Acceptance of Terms

By using the services offered by Swayed LLC ("Swayed" or "Swayed LLC"), you agree to comply with and be bound by these Terms and Conditions. If you do not agree with any part of these terms, please refrain from using our services.

2. Service Refusal

Swayed LLC reserves the right to refuse service to any individual or entity, for any reason, at our discretion.

3. Content and Security

While using our services, you acknowledge that your content (excluding credit card information) may be transmitted without encryption and may undergo modifications to adapt to technical requirements. Credit card information is always encrypted during transfer over networks.

4. Restrictions on Usage

You agree not to:

  • Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service.

  • Use the Service, or access it, or any contact on the website through which the service is provided, without express written permission from Swayed LLC.

5. Intellectual Property and Usage Restrictions

a. Licensing

  • Swayed LLC retains all intellectual property rights, covering copyright and trademark, for our website templates ("Templates") and custom-designed layouts. The term "Templates" encompasses all website design packages and services provided by Swayed LLC.

  • By purchasing or downloading any Templates, you are granted a non-exclusive, non-transferable license to utilize them for your intended purposes. This license extends to political campaign purposes, and each Template is designated for use on a single website only. Additional templates must be acquired for each client or separate website launch. The license is valid for the duration of your active subscription.

b. Prohibited Actions

  • Unauthorized White Labeling: Users are expressly prohibited from white labeling, rebranding, or reselling the Templates without the explicit written consent of Swayed LLC. This includes passing off the Templates as the user's own creation or offering them for sale to third parties.

  • Modification and Distribution: Users may not modify, adapt, or create derivative works from the Templates for distribution or resale purposes.

c. Verification and Compliance

Swayed LLC reserves the right to verify the identity and intended use of the Templates by users. Users agree to cooperate with any reasonable requests for information related to their organization and usage of the Templates.

d. Footer Credit

Purchasers are not obligated to maintain the footer credit line "Design by Swayed LLC" or “© Swayed LLC” included in the "Squarespace Templates."

6. Web Hosting and Security

  • Purchasers are responsible for selecting, paying for, and managing any necessary web hosting services with Squarespace, including domain registrations and Squarespace plans. Purchasers are solely responsible for the security of the client's website. While Swayed LLC implements best practices for site security, we do not guarantee immunity from security breaches, and we are not liable for any damages arising from such breaches.

7. Technical Support

The purchase of one (1) Template includes limited email technical support and troubleshooting. Email support does not guarantee specific technical support beyond the intended template design scope. Any work related to technical support must be requested, scheduled, and billed at the Hourly Rate.

8. Website Platform Changes

Website platforms like Squarespace may make changes and upgrades related to features or interfaces. While Swayed LLC ensures that designs meet the technical requirements of the website platform at the time of purchase and for 30 days after purchase, we do not provide free alterations, refunds, or compensation related to changes in the website platform after purchase.

9. Refunds

Swayed LLC offers refunds within 24 hours of purchase for our installation packages. Due to the digital nature of our products, we do not offer refunds for the "DIY" packages.

10. Payment and Billing

Payment Methods: Swayed LLC accepts various payment methods, as outlined during the purchase process. Payments may include one-time purchases or subscription fees.

Taxes and Fees: Customers are responsible for any applicable taxes or fees related to their purchase and use of "Swayed LLC" services or templates.

11. Privacy and Data Handling

Data Collection: Swayed LLC collects and processes customer data, including personal and payment information, in accordance with our Privacy Policy. By using our services, customers consent to our data handling practices.

Privacy Policy: Customers should review our Privacy Policy, available on our website, for a comprehensive understanding of our data collection and protection measures.

12. Third-Party Payments

Swayed LLC is not responsible for payments or subscriptions to third-party services, including but not limited to services like Squarespace, Weglot, ActBlue, Mobilize, or NGP VAN. Customers are responsible for managing and maintaining any third-party subscriptions separately.

Compliance: Swayed LLC is committed to complying with relevant data protection regulations and ensuring the security and confidentiality of customer data.

13. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of the state of Louisiana, without regard to its conflict of law principles. Any disputes arising from or relating to these Terms and Conditions shall be subject to the exclusive jurisdiction of the state and federal courts located in the state of Louisiana. By using our products and services, you agree to submit to the personal jurisdiction of such courts for the purpose of litigating any such claims or disputes.
